Nerdworth Seller Policy

This Seller Policy ("Policy") explains the requirements and expectations for users who list and sell items on the Nerdworth marketplace (the "Platform").

Nerdworth is operated by Nerdbeak, Inc., a Delaware corporation, doing business as "Nerdworth" ("Nerdbeak," "Nerdworth," "we," "us," or "our").

This Policy is incorporated by reference into the Nerdworth Terms of Service. By listing or selling any item on Nerdworth, you agree to this Policy and the Terms of Service. If there is a conflict, the Terms of Service control.

1. Who Can Sell on Nerdworth

1.1 Eligibility

To sell on Nerdworth, you must:

  • Be at least 18 years old and able to enter into a binding contract
  • Have a valid Nerdworth account in good standing
  • Be located in the United States (we currently do not support international sellers)
  • Complete any onboarding steps we require (e.g., seller application, verification)

We may approve or decline seller applications at our discretion.

1.2 Payments via Stripe

Payouts to sellers are processed through third-party payment processors such as Stripe. To receive payouts, you must:

  • Connect a valid Stripe account (or similar account)
  • Complete any identity and tax verification required by Stripe
  • Keep your payout information accurate and up to date

If you disconnect or fail verification, we may pause your ability to list or receive payouts.

2. Ownership, Authenticity & Condition

2.1 You Must Own What You List

You must physically possess and own each item you list for sale. The following are prohibited:

  • Listing items you do not yet own
  • "Pre-selling" items you hope to acquire later
  • Listing items that are consigned elsewhere or double-listed in a way that risks no-ship behavior

2.2 Authenticity & Accurate Representation

You are responsible for ensuring that all items listed are:

  • Authentic (no counterfeits, no deceptive reproductions)
  • Accurately described (artist, set, edition, print run, grading company, grade, serial, etc.)
  • Honestly represented as to condition (scratches, cracks, label damage, etc.)

Misrepresenting authenticity or condition can result in:

  • Order cancellation
  • Refunds or partial refunds at your expense
  • Account suspension or permanent removal from the Platform

2.3 Counterfeit / Inauthentic Items

If an item is reported or reasonably suspected to be counterfeit or inauthentic, Nerdworth may:

  • Ask for additional photos or documentation
  • Temporarily hold or reverse payouts
  • Require the item to be returned, or
  • In serious cases, retain the item for verification and cooperate with law enforcement or grading companies

We may choose not to return items we reasonably believe are counterfeit or illegal.

3. Listing Standards

3.1 Quality of Listings

Each listing must:

  • Use clear, accurate titles and descriptions
  • Include photos that show the actual item (not a stock image, unless explicitly labeled)
  • Disclose any flaws, damage to item enclosures, or notable imperfections
  • Match the condition described at the time of sale

3.2 Prohibited Listings

You may not list items that:

  • Are illegal, stolen, or infringe third-party intellectual property rights
  • Fall under the Prohibited Items and Activities section of the Terms of Service
  • Include offensive, hateful, or illegal content

Nerdworth may remove or edit listings that violate our policies or appear misleading, at our discretion.

3.3 Intellectual Property

You are solely responsible for ensuring that your listings do not infringe the intellectual property rights of any third party. This includes, but is not limited to:

  • Fan art and derivative works: If you are selling artwork based on copyrighted characters, franchises, or other IP, you must have proper authorization or licensing from the rights holder
  • Using others' photos: You may only use images you own or have permission to use. Do not copy photos from other sellers, websites, or artists without authorization
  • Trademark usage: Product names, logos, and brand identifiers should only be used to accurately describe authentic items you are selling

Nerdworth will respond to valid intellectual property complaints and may remove listings, suspend accounts, or take other action as described in our Terms of Service.

4. Shipping & Fulfillment Commitment

(See also the Shipping Policy, which is incorporated by reference.)

4.1 Ship Within 2 Business Days

When an order is placed and payment is confirmed:

  • You must ship the order within 2 business days
  • "Business days" means Monday through Friday, excluding U.S. federal holidays
  • Custom, handmade, or made-to-order items may have longer handling times if clearly stated in the listing

4.2 Tracking Required

For every order:

  • You must ship with a trackable shipping method
  • You must upload valid tracking information to Nerdworth as soon as the order is shipped

4.3 Packaging Standards

You are responsible for packaging items securely. At a minimum:

  • Use protective sleeves, bubble wrap, and rigid boxes or high-quality mailers with padding appropriate for your item
  • High-value items: consider double-boxing and insurance

Inadequate packaging that leads to damage can result in refunds, partial refunds, or account action.

4.4 Insurance for High-Value Items

We strongly recommend that sellers purchase shipping insurance for high-value shipments. Unless otherwise stated in writing:

  • Insurance is the seller's responsibility
  • Nerdworth is not responsible for loss or damage caused by carriers or inadequate packaging

5. Order Commitment, Cancellations & No-Ship Behavior

5.1 Orders Are Binding

When a buyer purchases your item on Nerdworth:

  • You are making a binding commitment to ship that specific item at the agreed price
  • You may not cancel simply because you changed your mind or found a higher offer elsewhere

5.2 Seller-Initiated Cancellations

Seller-initiated cancellations should be rare and limited to issues such as:

  • The item is damaged or missing and cannot reasonably be replaced
  • A clear error in the listing (e.g., wrong item entirely)

We may track and act on repeated seller cancellations.

5.3 No-Ship & Ghosting

If you fail to ship and/or fail to upload tracking within the required time:

  • We may automatically cancel and refund the order to the buyer
  • We may treat the cancellation as a seller-initiated no-ship, which can result in:
    • Reduced selling limits
    • Temporary or permanent suspension of selling privileges
    • Holds on payouts
    • Fees or adjustments to offset refunds, buyer credits, or goodwill costs

5.4 Monetary Adjustments

To protect buyers and the marketplace, Nerdworth may, at its discretion:

  • Offset refunds, credits, chargebacks, or other adjustments against your pending or future payouts
  • Charge reasonable fees for repeated no-ship or bad-faith behavior

By selling on Nerdworth, you authorize us to make such adjustments from your payouts as permitted by law and our Terms of Service.

6. Fees, Payouts & Adjustments

6.1 Marketplace Fees

Nerdworth may charge fees for:

  • Completed sales (commission)
  • Payment processing
  • Optional services or upgrades

Current fee rates are posted in your seller dashboard or on our Fees page. By listing and selling on Nerdworth, you agree to those fees.

6.2 Payout Schedule

Unless otherwise communicated:

  • Payouts are made to your connected Stripe account or other approved payout method
  • Payout timing may depend on order delivery, fraud checks, and Stripe's own settlement timelines

6.3 Holds & Reversals

We may place holds on funds or reverse payouts in cases of:

  • Chargebacks, suspected fraud, or policy violations
  • Orders with unresolved disputes or buyer claims
  • Risk or compliance concerns identified by us or our payment processors

7. Risk of Loss, Chargebacks & Reimbursement

7.1 Risk Before Delivery

You bear the risk of loss or damage to items until:

  • The carrier confirms delivery to the buyer's address with valid tracking, and
  • The package appears consistent with the order (correct address, no obvious tampering)

7.2 If Items Are Lost or Damaged

If an item is lost or arrives significantly damaged:

  • We may ask for photos, tracking details, and packaging proof
  • We may refund the buyer and reverse part or all of your payout if we determine seller error, inadequate packaging, or non-compliance with policies

7.3 Chargebacks & Disputes

If a buyer files a chargeback:

  • We may provide evidence to the payment processor on your behalf (photos, tracking, messages)
  • If the chargeback is resolved in the buyer's favor, we may deduct the amount (plus any associated fees) from your present or future payouts

8. Buyer Data & Privacy

8.1 Use of Buyer Information

You receive buyer information solely to:

  • Ship the order
  • Communicate about the specific transaction (if needed)

You may not:

  • Use buyer data for marketing outside Nerdworth
  • Add buyers to your own email lists without explicit consent
  • Share, sell, rent, or otherwise disclose buyer information to third parties (except carriers needed for shipping)

8.2 Data Security

You must store any buyer information you retain in a secure manner and delete it when no longer necessary for the transaction or required by law.

9. Off-Platform Transactions

You may not:

  • Use Nerdworth messages, packaging inserts, or branding to steer buyers to off-platform purchases that bypass Nerdworth's fees, protections, or policies
  • Encourage buyers to cancel Nerdworth orders and transact elsewhere

We may suspend or remove sellers who attempt to circumvent the marketplace.

10. Returns, Refunds & Dispute Resolution

Sellers must comply with:

  • Nerdworth's Refund/Return Policy (if present), and
  • Any return or refund terms in our Terms of Service

We may mediate disputes at our discretion and may:

  • Require a return
  • Issue partial or full refunds
  • Adjust payouts based on our final decision

Our determination in Nerdworth-mediated disputes is final for purposes of Platform outcomes.

11. Taxes

You are responsible for:

  • Reporting and paying any income or other taxes arising from your sales
  • Keeping your tax information up to date in Stripe or any other payout provider

Nerdworth may collect and remit sales or use taxes where required by law, but this does not affect your income tax obligations.

12. Changes to This Policy

We may update this Seller Policy from time to time. When we make material changes, we will update the "Effective Date" above and may provide notice via the Platform or email.

Your continued listing or selling after any update constitutes acceptance of the revised Policy.
